A coalition of state attorneys general, led by California’s Rob Bonta, is under intense scrutiny as reports emerge of advanced settlement talks that would allow the Paramount and Warner Bros. Discovery merger to proceed, effectively abandoning a high-stakes legal challenge intended to block the media industry consolidation.

The proposed settlement reportedly includes a $1.5 billion investment by Paramount in California production, promises regarding corporate presence, and the divestiture of certain cable assets. To address potential editorial influence concerns, the deal may also establish a board to oversee CNN’s independence. These concessions have drawn sharp criticism from legal experts and activists who argue that behavioral remedies are historically ineffective at curbing the market dominance of massive media entities.

Former Federal Trade Commission chair Lina Khan cautioned that the lawsuit remains a strong challenge to a deal that appears facially illegal. Antitrust researcher Matt Stoller labeled the potential agreement as a failure of regulatory resolve, warning that such a move could permanently damage Bonta’s standing. Actor Mark Ruffalo joined the chorus of dissent, publicly urging the attorneys general to reject the compromise and proceed to trial, arguing that the public interest outweighs the promises offered by the conglomerates.

Internal friction persists within the 12-state coalition. New York Attorney General Letitia James and officials from Connecticut are reportedly resisting the current terms, seeking deeper protections for workers impacted by the merger. While the Trump-era Justice Department previously withdrew its own antitrust investigation into the deal, the state-level challenge—alongside a separate lawsuit from the Writers Guild of America—remains the final significant barrier to the consolidation of these media giants.
